Terms of Service

These Terms of Service govern your use of the adeptSuite platform and the adeptsuite.ai website, which are provided by Adept IT Consultants (UK) Ltd ("Adept", "adeptSuite", "we", "us" or "our"), company number 15769527, registered in England and Wales, registered office 124 City Road, London, EC1V 2NX.

By creating an account, starting a subscription, or otherwise using the platform, you agree to these Terms. Please read them together with our Privacy Policy. If you do not agree, please do not use the platform.

1. About these Terms

These Terms form a binding agreement between Adept and the business that uses adeptSuite (referred to as "you" or "your"). By accepting them you confirm that you are using the platform in the course of a business — not as a consumer — and that you have authority to bind the business you represent. adeptSuite is currently offered to businesses established in the United Kingdom.

2. The service

adeptSuite is a subscription software platform made up of connected products, which at present include adeptCreate (AI-generated product content), adeptRank (search-optimisation suggestions), adeptMarketplace (multi-channel catalogue sync) and adeptReach (audience and advertising tools). We may add, change, rename or withdraw products over time.

• Some products or features may be released progressively or offered as beta or preview. Beta and preview features are provided "as is", may change, and may be withdrawn.
• We may issue updates and improvements from time to time; your right to use the platform includes those updates as they are made generally available to your plan.
• adeptSuite is a software tool. We do not guarantee any particular commercial, ranking, sales or marketing outcome from using it.

3. Accounts and eligibility

• Sign-in is handled through a third-party provider (Google, Microsoft or Facebook). You are responsible for keeping access to your sign-in account secure.
• You are responsible for activity carried out under your account and for the accuracy of the information you provide.
• You must ensure that everyone you allow to use your account complies with these Terms.

4. Subscriptions and fees

adeptSuite is provided on a subscription basis. The plans, included allowances and prices that apply to you are those set out on our pricing page or in your order. Fees are exclusive of VAT unless stated otherwise. Some usage is metered through AI credits, as described for your plan.

We may change our plans and prices; where a change affects your subscription we will give reasonable notice, and it will not change the price for a period you have already paid for.

5. Acceptable use

You agree to use adeptSuite lawfully and responsibly. You must not:

• break any applicable law or regulation, or infringe anyone else's rights;
• upload or send content that is unlawful, infringing, defamatory, obscene, harassing or hateful;
• use the platform to send messages to people who have not given the consent your marketing requires, or to anyone who has opted out;
• attempt to gain unauthorised access to the platform, interfere with its operation, or introduce malicious code;
• copy, resell or redistribute the platform except as these Terms allow.

You must not use AI features to generate content that is unlawful, deceptive, or that infringes third-party rights.

6. Your data and your compliance

Where adeptSuite processes personal data about your own customers on your behalf, you are the controller and Adept is the processor. Our data processing terms (which reflect Article 28 of the UK GDPR) form part of this agreement and govern that processing. This is explained further in our Privacy Policy.

• You are responsible for having a lawful basis for the data you put into the platform and for the marketing you carry out through it, including holding valid consent where it is required.
• You confirm that you have the right to provide the contact data you upload and to instruct us to process it.
• You retain ownership of your content and customer data. You grant us the rights needed to host and process it in order to provide the service.

7. AI features and output

AI features produce suggestions that you review before use. You decide whether to accept, edit or discard them, and you are responsible for content you choose to publish. Given the nature of generative AI, we do not warrant that AI output is accurate, original or fit for a particular purpose, and you should review it before relying on it.

8. Intellectual property

The platform, and all software, text, graphics and branding we provide, are owned by or licensed to Adept and are protected by law. We grant you a non-exclusive, non-transferable right to use the platform during your subscription, for your own business purposes and subject to these Terms. You must not copy, modify or create derivative works of the platform except as permitted. Your own content remains yours.

9. Third-party services

adeptSuite connects to third-party services — for example Shopify, eBay, Google, Meta, X, and payment and email providers. Your use of those services is subject to their own terms, and we are not responsible for them. If a third-party service changes or becomes unavailable, the related features of adeptSuite may be affected.

10. Availability and support

We aim to keep adeptSuite available and to provide support appropriate to your plan, but we do not guarantee uninterrupted or error-free service, and we may carry out maintenance. Where a product or feature is in beta or preview, availability and support may be limited.

11. Warranties and disclaimers

Except as expressly stated in these Terms, the platform is provided "as is" and "as available", and we exclude all implied warranties to the fullest extent permitted by law, including implied warranties of satisfactory quality, fitness for a particular purpose and non-infringement.

12. Limitation of liability

To the fullest extent permitted by law, Adept is not liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue, data or goodwill, arising out of or in connection with your use of the platform. Our total liability arising out of or in connection with these Terms in any 12-month period is limited to the fees you paid for the platform in that period.

Nothing in these Terms excludes or limits our liability where it would be unlawful to do so — including liability for death or personal injury caused by negligence, or for fraud.

13. Suspension

We may suspend access to the platform, in whole or in part, where reasonably necessary — for example to address a breach of these Terms or the acceptable-use rules, non-payment, a security risk, or a legal requirement. Where practical we will give notice and restore access once the issue is resolved.

14. Term and termination

These Terms apply for as long as you use the platform or hold a subscription. You may stop using the platform and end your subscription in line with your plan. Either party may terminate for a material breach that is not remedied within a reasonable period. On termination, your right to use the platform ends; you may export your data within the export window described in our data processing terms, after which we will return or delete data as set out in our Privacy Policy.

15. Changes to these Terms

We may update these Terms from time to time. We will change the version and effective date above, and for material changes we will give reasonable notice — for example by email or an in-app notice. Continuing to use the platform after a change takes effect means you accept the updated Terms.

16. Governing law and jurisdiction

These Terms and any dispute arising out of or in connection with them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
